Terms of Services


Effective date: October 18th 2024


These Terms of Service ("Terms") constitute a legal agreement between you, the user, and the Thirdeye Techlabs / Compliance Diary App ("Application"). By accessing or using our Application, you agree to comply with and be bound by these Terms, which govern your use of the Compliance Diary App and any related services provided by us. Please read these Terms carefully. If you do not agree to these Terms, you must not use our Application.


User Account and Registration

While creating an account with Thirdeye Techlabs / Compliance Diary is not mandatory for all users, it is highly recommended, especially for those who wish to purchase a Premium subscription or utilize certain features. Users opting for Premium features or Google Drive backups are required to sign in using their Google or Apple account. This sign-in process allows us to collect your name, email, and profile picture from your Google/Apple account, which is used for communication and personalizing your experience within the Application.


User Conduct and Responsibilities

As a user, it is your responsibility to ensure that your use of the Application complies with all applicable laws and regulations


· Single Device Usage

A premium subscription in the Application is for individual use. The sharing of account details for the purpose of distributing a premium membership to multiple individuals is strictly prohibited. Violation of this term may result in termination of your subscription and access to the Application.


Content Ownership And Usage


· Data Ownership and Control

Users maintain full ownership of the financial data they enter into the Application. This data is stored locally on your device, ensuring your control and ownership.


· Backup and Export

As a convenience, users have the option to back up their data in an encrypted file format, which can be stored on their device, Google Drive, or iCloud. This file can be used later to restore the data back in the Application. Additionally, premium subscribers have the exclusive feature of exporting their data in CSV or PDF formats for personal use or record-keeping.


Updates and Maintenance


· Ongoing Improvements:

We are committed to continually enhancing the Application. New features and improvements may be introduced as needed.


· Maintenance and Support

While there is no regular maintenance period for the Application, we encourage users to report any issues or problems encountered. Our team will strive to address and resolve issues promptly to ensure a smooth user experience.

Liability and Warranty


· No Warranties Provided

The Application is provided on an 'as is' and 'as available' basis without any warranties, either express or implied, including, but not limited to, implied warranties of merchantability or fitness for a particular purpose.


· Limitation of Liability

In no event shall the Application, its affiliates, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use of or inability to use the Application. Our liability in any dispute or case is limited to the amount the user has spent on subscribing to Premium in the past 6 months.


Dispute Resolution

Should you have any concerns or disputes related to the Application, we encourage you to contact us via email. We aim to resolve any issues amicably and promptly.


Modification of Terms

These Terms may be updated or modified from time to time. We reserve the right to make these changes without prior notice. Users will be notified of significant changes to the Terms via email or an in-app notification. Continued use of the Application after such changes constitutes acceptance of the new Terms.


Termination of Service

We reserve the right to terminate or restrict your access to the Application if you are found to be in violation of these Terms. Termination will result in the immediate cessation of access to the Application and its services.

  

Billing and Payment


· Fees. 

(a) Direct Purchases.  If Customer purchases directly from Thirdeye Techlabs / Compliance Diary , fees and any payment terms are specified in Customer’s Order with Thirdeye Techlabs / Compliance Diary . 


(b) Resellers.
 If Customer purchases through a Reseller, Customer must pay all applicable amounts directly to the Reseller, and Customer’s order details (e.g., Products and Scope of Use) will be specified in the Order placed by the Reseller with Thirdeye Techlabs / Compliance Diary  on Customer’s behalf. 


(c) Renewals.  Unless otherwise specified in an Order and subject to the Product, Support or Advisory Services continuing to be generally available, a Subscription Term will automatically renew at Thirdeye Techlabs / Compliance Diary then current rates for:
(i) if Customer’s prior Subscription was for a period less than twelve (12) months, another Subscription Term of a period equal to Customer’s prior Subscription Term, or (ii) if Customer’s prior Subscription Team was for twelve (12) months or more, twelve (12) months. Either party may elect not to renew a Subscription Term by giving notice to the other party before the end of the current Subscription Term. Customer must provide any notice of non-renewal through account settings in the Products, by contacting Thirdeye Techlabs / Compliance Diary support team or by otherwise providing Thirdeye Techlabs / Compliance Diary notice.


(d) Increased Scope of Use.
If Customer exceeds the Scope of Use purchased, unless otherwise agreed with Thirdeye Techlabs / Compliance Diary  in writing, Customer must upgrade its subscription or pay for the increased Scope of Use. Unless otherwise specified in an applicable Order, Thirdeye Techlabs / Compliance Diary  will charge Customer for any increased Scope of Use at Thirdeye Techlabs / Compliance Diary ’s then-current rates, which may be prorated for the remainder of the then-current Subscription Term.


(e) Refunds. All fees and expenses are non-refundable, except as otherwise provided in this Agreement. For any purchases Customer makes through a Reseller, any refunds from Thirdeye Techlabs / Compliance Diary  payable to Customer relating to that purchase will be remitted by that Reseller, unless Thirdeye Techlabs / Compliance Diary  specifically notifies Customer otherwise at the time of refund.

(f) Credit Cards. If Customer uses a credit card or similar online payment method for its initial Order, then Thirdeye Techlabs / Compliance Diary  may bill that payment method for renewals, additional Orders, overages to scopes of use, expenses, and unpaid fees, as applicable.


· Taxes. 


(a) Taxes Generally.  Fees and expenses are exclusive of any sales, use, GST, value-added, withholding or similar taxes or levies that apply to Customer’s Orders. Other than taxes on Thirdeye Techlabs / Compliance Diary net income, Customer is responsible for any such taxes or levies and must pay those taxes or levies, which Thirdeye Techlabs / Compliance Diary will itemize separately, in accordance with an applicable invoice.


(b) Withholding Taxes. To the extent Customer is required to withhold tax from payment to Thirdeye Techlabs / Compliance Diary  in certain jurisdictions, Customer must provide valid documentation it receives from the taxing authority in such jurisdictions confirming remittance of withholding. This documentation must be provided at the time of payment of the applicable invoice to Thirdeye Techlabs / Compliance Diary .


· Suspension for Non-payment  

Thirdeye Techlabs / Compliance Diary  may suspend Customer’s rights to use Products or receive Support or Advisory Services if payment is overdue.


Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.


Data Usage and Privacy

In managing subscriptions, we utilize RevenueCat, a third-party service. However, only account IDs are shared with RevenueCat to facilitate the linkage of purchases to your account within the Thirdeye Techlabs / Compliance Diary App. Your privacy remains our top priority. Your email, name, and profile picture collected during account creation are securely stored and not shared with third parties.


We utilize third-party analytics services, including Firebase Analytics provided by Google LLC and Facebook Analytics for Apps by Meta Platforms, Inc., to collect non-personal data related to app usage. This information aids us in improving app functionality and user experience.
